1. Acceptance of Terms

By accessing or using the SWRK website and services, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our services.

2. Services

SWRK provides software development, product strategy, and related services. Specific deliverables, timelines, and pricing are governed by a separate Scope of Work (SOW) or agreement executed between SWRK and the client.

3. Intellectual Property

Until full payment is received, all rights, title, and ownership in deliverables — including source code, designs, and documentation — remain exclusively with SWRK. Ownership transfers to the client only upon receipt of full payment for the applicable project.

SWRK retains ownership of internal frameworks, reusable components, utility libraries, boilerplates, and proprietary methodologies used during development.

4. Payment Terms

Payments are due according to the schedule set forth in the applicable SOW or agreement. Invoices are payable within seven (7) calendar days. Failure to pay may result in work suspension, delayed delivery, or suspension of support without liability to SWRK.

5. Warranties & Limitation of Liability

SWRK warrants that services will be performed in a professional manner consistent with industry standards. SWRK shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, profits, or data. SWRK's maximum liability shall not exceed the total fees paid under the applicable agreement.

6. Confidentiality

Both parties agree to keep confidential all business, technical, and financial information shared during the course of the engagement, unless disclosure is required by law.

7. Third-Party Services

Our services may integrate with or rely on third-party platforms, APIs, and hosting providers. SWRK is not responsible for the availability, security, or performance of third-party services. Third-party software remains governed by its respective licenses.

8. Changes to Terms

SWRK reserves the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms.

9. Governing Law

These Terms & Conditions shall be governed by the laws of India. Any disputes shall first be resolved through good-faith negotiation and, if unresolved, through arbitration in India.
